BY-LAWS
OF THE
INTERMOUNTAIN BLACK BELT ASSOCIATION INC.
ARTICLE I - Name
The name of the Corporation is the INTERMOUNTAIN BLACK BELT ASSOCIATION INC., hereinafter called the INTERMOUNTAIN YUDANSHAKAI.
ARTICLE II - Purpose
The Yudanshakai is organized for the following purposes:
Section 1. To promote the art and science of Kodokan Judo as a sport and as a cultural pursuit for the mutual health and welfare of all participants.
Section 2. To cooperate with the United States Judo Federation of the United States in fostering and maintaining competition among its members in a high phase of sportsmanship and friendly relationship and to provide rules and procedures governing such competition.
Section 3. To, through the Board of Directors of the Yudanshakai, set the standards and make all awards in recognition of knowledge and proficiency in Kodokan Judo.
Section 4. To be an independent organization, officially recognized by the United States Judo Federation and governed by its articles and by-laws. It shall cooperate with the United States Judo, Inc. It may however cooperate with other sports governing bodies for the furtherance of Judo, provided such cooperation does not endanger the clubs autonomy.
ARTICLE III - Membership, Fees and Dues
Section 1. Qualifications. Any club with a 501C3 tax status, which subscribes to the purpose and objectives of the Yudanshakai, may become a member of the Yudanshakai subject only compliance with provisions of the By-Laws. Membership in the Yudanshakai shall be available without regard to race, creed, color, sex, religion or national origin.
Section 2. Participation. Only clubs in good standing of the Yudanshakai shall be eligible to participate in its business meetings.
Section 3. Voting Rights.
I. All voting by the Board of Directors shall be on the basis of one vote for each member of the Board present. Voting by proxy shall not be permitted.
II. Election of officers shall be written ballot by the members of the board present. Voting by proxy shall not be permitted.
Section 4. Fees and Dues. The Board of Directors will determine the amount of dues and will assess each club for the members of that club. Each member club will collect the dues and submit them to the Yudanshakai treasurer. Any club who is delinquent in collecting and submitting dues may not participate in tournaments or in the activities of the Yudanshakai.
Section 5. Discharge. Any Club, which has violated the code of sportsmanship of the Yudanshakai, shall be discharged upon the majority vote of the Board of Directors.
ARTICILE IV - Meetings
Section 1. Time and Place of Regular Meetings: There shall be an annual business meeting of the Yudanshakai to be held in Twin Falls, Idaho on the third Monday of July, at 10:30 A.M., or at such other time and place as the President shall designate.
Section 2. Special Meetings: Special meetings of the Yudanshakai may be called by the President or at the written request of three member Clubs.
Section 3. Notice: Notice of all meetings of members shall be in writing and shall state the place, date of the meeting and, unless it is an annual meeting, indicate that it is being issued by or at the direction of the person or persons, calling the meeting. Notice of all special meetings of members shall state the purpose or purposes for which the meeting is called. Notice of any meetings shall be given, personally, by mail, or email to each member dojo to notify there entitled members to vote at such
If the notice is given personally of by first class mail, it shall be given not less that ten nor more than 30 days before the date of the meeting. If mailed, such notice is given when deposited in the United States mail, with postage thereon prepaid, directed to the member at his or her address as it appears on the record of filed with the secretary a written request that notices be mailed to the members at some other address, than directed to the member at such other address.
Section 4. Quorum: Ten members of the Board of Directors shall constitute quorum.
ARTICLE V - Board of Directors
Section 1. Administration: The management and administration of the Yudanshakai shall be vested in the Board of Directors. The officers of the Yudanshakai shall be elected by the Board of Directors in conformance with Article VIII of the Articles of Incorporation.
Section 2. Duties: The Board of Directors shall manage the business of the Yudanshakai and they, through the officers, shall make a report at the annual meeting of the membership of the Yudanshakai.
Section 3. Meetings: Regular meeting of the Board of Directors may be held upon such notice of the Board of Directors at the each annual meeting.
Notice of the date and location shall be given to each representative of each member club, at least 10 days prior to the date fixed for such meeting, by telephone, email or by mail with postage thereon prepaid, at the address of such member club as appears in the record of the Yudanshakai, such mail shall be posted at least 10 days prior to the dated fixed for such meeting.
If given by mail, the notice shall be deemed given when deposited in the United States mail, notice of email being sent. The call, notice or wavier of notice need not specify the purpose of any meeting of the Board of Directors.
Special meetings of the Board of Directors may be called by the President, or, shall be called at the written request of three members of the Board of Directors to the President.
Section 4. Quorum: Ten members of the Board of Directors shall constitute a quorum at any meeting of the Board of Directors. (No section 5)
ARTICLE VI - Board of Directors Responsibilities
Section 1. Eligibility. The officers of the Yudanshakai shall be members of the Board of Directors. The officers shall consist of the President, a Vice President, Secretary, and Treasurer.
Section 2. Duties of the President. The President shall preside at the meetings of the membership of the Yudanshakai and of the Board of Directors and shall perform such duties as usually pertain to the office of President. The President will be the first voting delegate to the United States Judo Federation. If the President is unable to attend the meeting of the United States Judo Federation and the Vice-President is also unable to attend, the President shall appoint the voting delegate.
Section 3. Duties of Vice-President. The Vice-President shall, in the absence of or inability of the President to serve, perform the duties of the President.
The Vice-President shall serve as the voting delegate to the United States Judo Federation in the absence of the President. The office of Vice-President shall also be equivalent to that of the office of a President-elect. The President shall serve a two-year term and the Vice-President, as President-elect, shall serve a concurrent two-year term and upon the expiration of the term of the President the Vice-President shall thereupon become the President and a new Vice-President shall thereupon be elected who shall also serve in the capacity of the next President-elect.
Section 4. Duties of Secretary. The Secretary shall conduct the official correspondence of the Yudanshakai, keep the minutes and records of all meeting, issue notices of meetings and perform such other duties as may be assigned to the Secretary.
Section 5. Duties of Treasurer. The Treasurer shall keep the accounts of the Yudanshakai, receive all monies, dues, donations and other income, pay all bills approved by the Yudanshakai and preserve all proper vouchers for such disbursements. The Treasurer shall submit an itemized financial statement at each regular meeting of the Board of Directors and a complete annual financial statement reviewed by a Certified Public Accountant or a committee composed of three members of the Board of Directors who are not officers of the Yudanshakai, shall be submitted to the Board of Directors at each annual meeting. The Treasurer shall also be the Rank Registration Chairman. The duties of the Rank Registration Chairman are to collect all fees payable upon the promotion of any members attaining or holding a brown belt or black belt rank, and remit the same to the appropriate organization; to register all members with appropriate organizations; and to make arrangements for all required sanctioning of member club activities.
Section 6.Term. The term of each officer shall be for two years, or in the event of a successor officer, until the expiration of the term of the person elected to the office.
Section 7. Vacancy. In the event of a vacancy in the offices of the Yudanshakai during any year, the vacancy shall be filled by appointment by the Board of Directors and the person assuming the duties in such vacancy shall serve until the next annual business meeting of the Yudanshakai.
ARTICLE VII - Amendments
Section 1. Procedure. These By-Laws may be amended by a two-thirds vote of the Board of Directors present at any special or regular annual business meeting of the Yudanshakai. Amendments must be proposed in writing to the members of the Board of Directors and may be submitted by any member of the Board of Directors. Before any amendment to the By-Laws may be acted upon, each member of the Yudanshakai must be furnished a copy of the proposed amendment in writing by the Secretary of the Yudanshakai at least 60 days in advance of any vote on the proposed amendment.
ARTICLE VIII - Board of Examiners
The Board of Directors shall have the authority to establish a technical body officially titled the Board of Examiners, composed of Yudanshakai members who hold the Kodokan Judo rank of Sandan or higher. The number of the members of the Board of Examiners shall never be less than seven nor more that the number of member clubs of the Yudanshakai. The Board of Examiners shall have the following duties:
1. To set the standards of conduct and practice of Kodokan Judo within the jurisdictional limits of the association based on USJF requirements.
2. To make recommendations for promotions in Kodokan Judo rank as outlined in the procedure of the Yudanshakai.
To determine and interpret the rules and conditions for all association sponsored competition.
To offer technical advice to the President on matters concerning the USJF and the USJI.
The Board of Examiners shall elect, from among themselves, a Chairman and Secretary. The Chairman shall not hold office for more than two consecutive years. All promotional recommendations must be signed by the Chairman of the Board of Examiners.
